Define what your US-to-Dubai expansion will do
A US founder launching a UAE consultancy and a US company opening a regional sales operation may use different ownership, documentation and management arrangements. Start with the commercial purpose of the Dubai company rather than a headline formation price.
Write down where customers are located, where staff will work, who owns the brand or software, and which entity will sign contracts. If the US business continues operating, identify what moves to the UAE and what stays in the United States. This helps align the licence, banking explanation and accounting records.
Right Time supports UAE activity selection, document preparation and setup coordination. Bring your US tax adviser into the structure discussion early so a Dubai registration decision does not create an avoidable reporting or classification problem at home.
Compare Dubai mainland and free zone formation
A mainland company may fit an operation requiring local premises, on-site service delivery or a broader UAE operating footprint. Foreign ownership is available for many activities, subject to the activity and legal structure. Regulated services require an additional approval review.
A free zone may fit international consulting, a regional office or trading activities supported by that zone. Check permitted activities, actual workspace, employee visas and the route for any mainland business. A company created for consulting should not assume it can also hold stock, import goods or provide a separately regulated service.
Individual ownership, subsidiary or branch?
Personal ownership can separate a founder's new venture from the existing US business. A subsidiary puts the US company into the ownership chain. A branch connects the UAE operation to its foreign parent and needs a review of the permitted activity and parent responsibilities. Compare these against contracts, liability, governance and US tax treatment.
Prepare US founder and corporate documents
- For each individual: passport, residence and contact details, proposed role and shareholding, plus UAE identity or visa documents where applicable.
- For a US company: formation and constitutional records, evidence of current status where requested, ownership records and an authorising board or member resolution.
- For the signatory: authority to act for the investor, with any required power of attorney and identity evidence.
- For the business file: proposed activity, contracts or a business plan, anticipated currencies and counterparties, and an explanation of initial capital.
US corporate records differ by state and entity type. Confirm exactly which documents the UAE authority accepts before obtaining certified copies or arranging attestation. A document valid for a US domestic purpose is not automatically ready for a UAE company application.
US tax and foreign-entity reporting: decide before registering
The IRS states that US citizens and resident aliens are generally taxed on worldwide income even when living abroad. Depending on the ownership and facts, a foreign company or foreign financial account can also require information reporting. Your adviser should assess the proposed UAE legal form, its US tax classification, ownership percentages and the way profits will be distributed.
Do not assume a UAE residence visa changes US filing obligations. Ask how salary, dividends, shareholder transactions and any dealings between the US and UAE businesses should be recorded. The IRS guidance for taxpayers abroad explains the starting point; the answer for your company needs individual review.
Build an account-opening file that explains the operation
Prepare a simple diagram showing owners and controllers, a description of customer locations, expected monthly receipts and payments, and supporting funding records. Banks may request tax-residency declarations and additional US-related information. Present the same operating story across your application, website, contracts and bank forms.
What should your Dubai setup quote include?
A useful quote connects your licence to the business you intend to run. Ask for the authority, approved activities, shareholder structure, workspace and visa allocation to be named before comparing totals. A low advertised licence fee may cover only one part of your first year.
| Budget item | What to confirm in writing |
|---|---|
| Formation and licence | Trade name, registration, licensed activities, constitutional documents and any external approvals. |
| Workspace | Whether the permitted desk, office, shop or warehouse fits your operations and staffing plan. |
| Documents | Certification, attestation, legal translation, courier charges and authorised representation where needed. |
| Immigration | Establishment services, individual visa applications, medical fitness, Emirates ID and insurance where applicable. |
| Operating and renewal costs | Annual licence and lease renewal, bookkeeping, tax compliance, bank charges and any required audit. |
Fees and processing times depend on the authority, activity and application. Request an itemised quote with exclusions and renewal costs rather than a promised completion date before documents have been reviewed.
From registered company to operating business
Keep incorporation, residency and banking as separate workstreams. A trade licence does not by itself approve a residence visa or business account. Banks assess the business model, ownership and expected transactions. Prepare an ownership chart, source-of-funds evidence and customer or supplier information that explain how the company will operate.
Set up bookkeeping from the first business transaction. Corporate tax treatment depends on your entity and activities; a free zone licence alone does not establish eligibility for a 0% corporate tax rate. Review corporate tax registration and VAT registration separately against the Federal Tax Authority rules.

Dubai setup questions for US founders
Does a Dubai company eliminate my US tax obligations?
No. US citizens and resident aliens are generally subject to US tax on worldwide income. A foreign entity or overseas account may also create reporting obligations. Have a qualified US adviser review your facts before selecting the ownership and entity structure.
Can my US LLC or corporation own the Dubai business?
A corporate shareholder may be possible under the selected UAE structure. Confirm authority requirements and compare corporate ownership with personal investment. US entity classification and reporting need separate US advice.
Can I set up the company without leaving the USA?
Some planning and application preparation can start remotely. Whether signing, identity verification, bank onboarding or residence steps require a UAE visit depends on the chosen authority and provider. Get an appointment plan before booking travel.
Will a UAE bank accept a US-connected company?
Each bank applies its own onboarding and compliance review. Prepare ownership, business-purpose, expected transaction and source-of-funds records, and provide the tax-residency information requested by the bank. Incorporation does not guarantee account approval.
Is a free zone automatically tax-free?
No. The UAE corporate tax outcome depends on the company and its income. Qualifying free zone treatment has conditions, and US tax and reporting questions remain separate. Review both jurisdictions before relying on a tax assumption.
