Start with your business model, then choose your licence
An Indian consultant serving overseas clients, an online retailer holding stock in Dubai and an Indian company expanding its UAE sales need different setup decisions. Describe the work, customers, delivery location and owner before comparing mainland and free zone packages.
For a consulting business, confirm the exact licensed service and whether the work needs a professional or sector approval. For trading or e-commerce, map who owns the goods, where they are stored and which entity sells to the customer. A business name or broad description such as “online business” does not replace an approved activity.
Right Time can help you organise these decisions into a Dubai setup brief: activity, shareholder, premises, visa requirements and operational support. That brief makes quotations easier to compare and helps avoid paying for a structure that does not match your first contracts.
Mainland or free zone for an Indian-owned business?
When to explore a Dubai mainland company
Consider mainland licensing when the operating plan involves local premises, a shop, regular work at customer locations or a wider UAE delivery footprint. Dubai offers full foreign ownership for many activities, but activity-specific conditions still need checking. Confirm the legal form, external approvals and premises requirements with the selected authority.
When to compare a free zone company
A free zone may suit an international services business or a trading operation whose facilities and market access match that zone. Compare permitted activities, workspace, visa allocation and how you may serve mainland customers. Do not choose a zone solely because its starting fee is lower or assume every activity has the same access to the local market.
Documents to prepare from India
Use this as a preparation list; the authority issues the final checklist for your application.
- Individual founders: clear passport copies, current residence details, proposed activities and names, ownership percentages and manager information. Existing UAE residents should also prepare their Emirates ID and visa details where requested.
- An Indian corporate shareholder: company registration and constitutional documents, current ownership information, an authorising resolution and details of the person permitted to sign.
- Ultimate owners: map the ownership chain to the natural people who ultimately own or control the business.
- Business evidence: a business description, expected customers, supplier arrangements and funding information for later banking discussions.
Check the exact certification, UAE attestation and translation route before ordering document work. Confirm that the proposed signatory and company name appear consistently across the application, authorisations and certified records.
Funding your Dubai company from India
The UAE licence process and the Indian outbound investment process answer different questions. The RBI overseas investment framework governs relevant investments by persons resident in India. Ask your authorised dealer bank how your proposed equity investment will be handled, which documents are needed and what reporting follows the transaction.
Keep Indian individual investment and Indian company investment as separate cases. Confirm residence status under the applicable Indian rules, the business activity, the ownership chain and the source of capital. Obtain India-side advice before committing to shareholder loans, guarantees or a structure involving subsidiaries.
Prepare remotely; book travel around confirmed appointments
Complete the business brief and initial document review from India. Then ask which signatures, identity checks and immigration steps require attendance. Schedule travel after the relevant parties confirm what can be completed and in what order. A licence, residence application and bank account can follow different review timelines.
What should your Dubai setup quote include?
A useful quote connects your licence to the business you intend to run. Ask for the authority, approved activities, shareholder structure, workspace and visa allocation to be named before comparing totals. A low advertised licence fee may cover only one part of your first year.
| Budget item | What to confirm in writing |
|---|---|
| Formation and licence | Trade name, registration, licensed activities, constitutional documents and any external approvals. |
| Workspace | Whether the permitted desk, office, shop or warehouse fits your operations and staffing plan. |
| Documents | Certification, attestation, legal translation, courier charges and authorised representation where needed. |
| Immigration | Establishment services, individual visa applications, medical fitness, Emirates ID and insurance where applicable. |
| Operating and renewal costs | Annual licence and lease renewal, bookkeeping, tax compliance, bank charges and any required audit. |
Fees and processing times depend on the authority, activity and application. Request an itemised quote with exclusions and renewal costs rather than a promised completion date before documents have been reviewed.
From registered company to operating business
Keep incorporation, residency and banking as separate workstreams. A trade licence does not by itself approve a residence visa or business account. Banks assess the business model, ownership and expected transactions. Prepare an ownership chart, source-of-funds evidence and customer or supplier information that explain how the company will operate.
Set up bookkeeping from the first business transaction. Corporate tax treatment depends on your entity and activities; a free zone licence alone does not establish eligibility for a 0% corporate tax rate. Review corporate tax registration and VAT registration separately against the Federal Tax Authority rules.

Questions Indian founders ask about Dubai company formation
Can an Indian citizen own a Dubai company?
Full foreign ownership is available for many mainland activities and in free zones. The selected activity, legal form and authority determine the available structure; strategic and regulated activities can have additional conditions.
Can I start the process while living in India?
You can begin activity selection, ownership planning, quotation review and document preparation remotely. Signing, identity verification, bank onboarding and any residence application must be checked separately before assuming that the whole process can be completed without a visit.
Do Indian overseas investment rules still matter?
Yes, where you are a person resident in India for the relevant foreign exchange rules. Discuss the proposed investment, shareholder type, remittance route and reporting with your authorised dealer bank and Indian adviser before transferring funds. An Indian passport alone does not settle your FEMA residence status.
Should I use my Indian company or invest personally?
Compare the commercial purpose, funding source, ownership of contracts and intellectual property, governance and reporting obligations. Corporate ownership adds company authorisation and corporate-document preparation. There is no single structure that suits every founder.
How much does business setup in Dubai cost for Indian entrepreneurs?
The total depends on the authority, activities, premises, visa needs and document work. Ask for separate formation, first-year operating and renewal figures. A licence-only price is not a complete launch budget.
